Welcome to Taskly. By accessing or using our free project management platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Taskly ("Taskly," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

2. Eligibility and Account Registration

You must be at least 16 years old to use Taskly. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

To access certain features, you must create an account. You agree to:

3. Use of Services

3.3 Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted or error-free access. As a free v1.0 service:

• We may experience occasional downtime for maintenance or improvements
• Features may be added, modified, or removed as we develop the platform
• We will make reasonable efforts to notify users of significant changes
• Service availability is provided "as-is" without guaranteed uptime SLAs

4. User Content

4.1 Your Content

You retain all rights to the content you create, upload, or share through our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your User Content solely to provide and improve our Services.

The Taskly name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Taskly. You may not use these marks without our prior written permission.

6. Free Service - No Payment Required

6.1 Current Version (v1.0)

Taskly v1.0 is provided as a completely free service. There are:

• No subscription fees or charges
• No premium tiers or paid features
• No hidden costs or in-app purchases
• No advertisements or sponsored content

6.2 Future Versions

If we introduce paid features in future versions:

• We will provide at least 60 days' advance notice to all users
• A free tier will remain available with core functionality
• Existing users will have the option to continue using the free tier
• Any paid features will be clearly optional and disclosed

6.3 Service Limitations

As a free service, we may implement reasonable usage limits (e.g., storage space, number of projects) to ensure fair access for all users. Current limits, if any, are displayed in your account settings.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

8. Disclaimers and Limitations of Liability

8.1 Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

AS THIS IS A FREE SERVICE, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED $100 USD.

9. Indemnification

You agree to indemnify, defend, and hold harmless Taskly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of our Services, your User Content, or your violation of these Terms.

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

10.2 Arbitration

Any dispute arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for intellectual property infringement.

10.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and TaskFlow individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and TaskFlow regarding our Services
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver
• Assignment: You may not assign these Terms without our consent; we may assign them without restriction
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
